Terms of Service

1. Acceptance of Terms
By creating an account or using Korva ("the Service"), you agree to these Terms of Service. If you are using Korva on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Service Description
Korva is an AI-powered platform that helps engineering consulting firms generate, manage, and collaborate on project proposals. The Service uses artificial intelligence to analyze project requirements and produce proposal drafts based on your firm's data, staff qualifications, and past experience.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information when creating your account and keep it up to date.
4. Content and Intellectual Property
Your Generated Content
Proposals and documents generated through Korva are yours. You retain full ownership of all output produced by the Service on your behalf, including generated proposal text, cost estimates, and formatted documents. You may use, modify, and distribute your generated proposals without restriction.
Content You Upload
When you upload content to Korva — including RFP documents, project descriptions, past proposals, staff information, and firm data — you retain ownership of that content. By uploading content, you grant Korva a limited, non-exclusive license to process, transmit, and store that content solely to provide the Service to your firm (for example, parsing an RFP, generating a proposal draft, and making that draft available to your team). This license exists only for the duration that your content remains in your Korva workspace and is revoked when you delete the content or close your account.
No Training on Your Content
Korva does not use your uploaded content, generated proposals, or firm data to train, fine-tune, or otherwise improve any AI model — our own, a shared Korva model, or any third-party model. Korva contracts with its AI inference providers on terms that prohibit those providers from using your content for model training or retention beyond what is required to serve the request.
We improve the Service through code changes, prompt engineering, evaluation on synthetic or public data, and operational telemetry (for example, request latency, error rates, feature usage) that does not include the text of your proposals or uploads.
Firm Data
Your firm's proprietary information (rate cards, staff details, templates, past proposals, calibration corpus) is used solely to generate proposals for your firm and is never shared with other users, other firms, or external parties.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract the AI models
- Interfere with or disrupt the Service infrastructure
- Share account credentials with unauthorized parties
- Upload content that you do not have the right to use
6. AI-Generated Content
Korva uses AI to generate proposal content. While we strive for accuracy, AI-generated content should be reviewed by qualified professionals before use. You are responsible for verifying the accuracy, completeness, and suitability of all generated proposals before submitting them to clients.
Korva does not guarantee that generated content will meet specific regulatory requirements or professional standards. Engineering professionals should apply their judgment and expertise when reviewing generated proposals.
7. Payment and Billing
Certain features of the Service require a paid subscription. Fees are billed in advance on a recurring basis. You are responsible for all applicable taxes. We reserve the right to change pricing with 30 days' notice.
8. Termination
You may close your account at any time. We may suspend or terminate your access if you violate these terms. Upon termination, your data will be handled in accordance with our Privacy Policy.
9. Limitation of Liability
To the maximum extent permitted by law, Korva shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill arising out of your use of the Service.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Governing Law
These terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Ontario.
12. Changes to These Terms
We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated terms.
